The impact of internal governance mechanisms (board of directors efficiency) on the financial performance of banks listed on the Iraq Stock Exchange

Résumé

The objective of this study is to assess and analyze the effect of board of directors' efficiency, as a key internal corporate governance mechanism, on the financial performance of publicly listed banks on the Iraq Stock Exchange. Employing a descriptive-analytical methodology, the research utilizes time-series cross-sectional (panel) data from a sample of 42 banks for the period spanning 2018 to 2022. Board efficiency is proxied by several structural attributes, including board size, gender diversity, and the percentage of non-executive directors, while financial performance is gauged by Return on Assets (ROA). The findings from the regression analysis indicate a positive and statistically significant relationship between board efficiency and financial performance. Collectively, the board's characteristics accounted for 93.4% of the variance in ROA. The study concludes by recommending that banks enhance their board structures through improved diversity and the active involvement of independent members to maximize firm value and financial performance.
